Software License Terms

By purchasing, downloading, installing, or using TERESIUS AI software, you agree to these Software License Terms.

1. License Grant

Subject to your compliance with these Terms and any active paid subscription or license period, TERESIUS AI grants you a limited, non-exclusive, non-transferable, revocable license to install and use the software for your own personal or internal business trading use.

This license is granted, not sold.

2. Eligibility

You must be legally capable of entering into a binding agreement and must comply with all laws and regulations applicable to your use of the software and to cryptocurrency trading in your jurisdiction.

3. One User / One Machine

Each license is issued for use by one user on one authorized machine.

The software may use a machine identifier or similar technical method to verify the authorized device. A license may not be shared across multiple computers, servers, virtual machines, or users without prior written approval from TERESIUS AI.

If you need to change your authorized machine, you must contact TERESIUS AI. Approval and reassignment are at TERESIUS AI’s discretion.

4. License Keys and Verification

Use of the software may require a valid license key and periodic license verification.

TERESIUS AI may suspend or deny access to the software, updates, or related services if:

• your license has expired;
• your subscription or payment status is inactive;
• your machine verification fails;
• your use appears unauthorized, abusive, or in violation of these Terms.

5. Updates and Model Files

Your access may include software updates, configuration files, parameter files, model-related files, or other update packages made available by TERESIUS AI.

These materials are part of the licensed product and are subject to the same restrictions as the software itself. You may not distribute, publish, resell, sublicense, or share them with any third party.

TERESIUS AI may modify, replace, or discontinue updates at any time.

6. Restrictions on Use

You may not, and may not permit any third party to:

• copy, distribute, sublicense, rent, lease, or resell the software;
• share your license key, update files, or licensed access with another person;
• use the software on more than one machine unless expressly authorized;
• modify, reverse engineer, decompile, disassemble, or attempt to derive source logic from protected parts of the software, except to the extent such restriction is prohibited by applicable law;
• bypass, disable, or interfere with license checks or technical protection measures;
• use the software in any unlawful manner.

7. No Transfer of Ownership

The software, update files, branding, documentation, and all related intellectual property remain the exclusive property of TERESIUS AI and its licensors, if any.

Your purchase or subscription does not transfer ownership of the software or any intellectual property rights.

8. User Responsibility

You are solely responsible for:

• your exchange account;
• your API keys;
• your device and local security;
• your chosen trading settings;
• monitoring your trading activity;
• compliance with laws and exchange rules.

You are also responsible for maintaining backups of your own local configuration where appropriate.

9. Suspension and Termination

TERESIUS AI may suspend, restrict, or terminate your license or access without refund if TERESIUS AI reasonably believes that:

• you violated these Terms;
• you shared the software or license improperly;
• you attempted to bypass licensing controls;
• your use creates security, legal, or operational risk.

Upon termination, you must stop using the software and delete all licensed copies, update packages, and related materials in your possession or control.

10. No Guarantee of Availability

TERESIUS AI does not guarantee that the software, license verification services, downloads, or updates will always be available, uninterrupted, or error-free.

11. No Investment Advice

TERESIUS AI is software only. It does not provide investment, financial, legal, or tax advice, and does not guarantee profits or trading performance.

12. Disclaimer of Warranties

To the maximum extent permitted by law, the software and related services are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or performance.

13. Limitation of Liability

To the maximum extent permitted by law, TERESIUS AI shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, trading opportunity, data, or goodwill arising out of or related to the software or its use.

14. Governing Law

These Terms shall be governed by the laws of the Province of British Columbia and the applicable laws of Canada, without regard to conflict of laws principles.
